    Please read these Terms of Service carefully. By submitting your order online, you confirm that you have read and agree to be bound by these Terms. These Terms supersede all previous terms and conditions issued by Us.

    1. Definitions

    FeesThe Staff Finder Fee and, where applicable, any Additional Role Fee payable by You in accordance with these Terms.
    Money-Back GuaranteeVSF's refund policy as described in clause 5, applicable where You are not satisfied with the Candidates shortlisted and do not proceed to hire any of them.
    Order ConfirmationThe written confirmation issued by VSF to You by email following Your order submission, confirming VSF's acceptance and setting out the role, fee paid and Effective Date.
    Order Expiry DateThe date falling 6 months after the Effective Date, on which an unfulfilled order will automatically close in accordance with clause 4.7.
    PlacementThe successful engagement of a Candidate by You following introduction by VSF.
    Placement GuaranteeVSF's 30-day re-placement policy as described in clause 6.
    RoleThe position or positions described by You in Your online order form.
    ShortlistThe presentation of up to 3 pre-vetted Candidates recommended by VSF for Your Role.
    Staff Finder FeeThe one-time fee paid by You for the Staff Finder Service, as specified at checkout. Where a Role requires additional advertising spend or specialist headhunting, an Additional Role Fee may apply as described in clause 4.3.
    Staff Finder ServiceVSF's talent matchmaking service as described in clause 3.
    Staff MemberThe Candidate You choose to engage following introduction by VSF.
    Trading TermsThese Terms of Service together with the Order Confirmation.
    VSF / We / Us / OurWrkPod Pty Ltd (ABN 13 667 901 573) trading as Virtual Staff Finder.

    2. Application of These Terms

    2.1 These Terms govern the entire relationship between VSF and You in connection with the Staff Finder Service. By submitting your order on VSF's website, You confirm that You have read and agree to be bound by these Terms. A binding agreement is formed when VSF issues an Order Confirmation to You.

    2.2 These Terms set out the entire agreement between VSF and You relating to the Staff Finder Service and supersede any previous agreements, proposals, correspondence or representations, whether written or oral.

    2.3 VSF may amend these Terms from time to time by giving notice by publication on its website (www.virtualstafffinder.com) and by email. You will be deemed to have accepted amended Terms if You continue to use the Staff Finder Service after such amendment.

    3. The Staff Finder Service

    3.1 What VSF Does

    VSF is a talent matchmaking service. For a one-time fee, VSF will:

    • refine and clarify Your job description and candidate requirements;
    • source candidates from VSF's Philippine talent network using AI-assisted screening;
    • conduct human interviews and reference verification;
    • complete personality profiling on suitable candidates; and
    • deliver a Shortlist of up to 3 pre-vetted, interview-ready Candidates within approximately 10 business days of receiving Your completed order.

    3.1.1 VSF will provide You with a profile and interview recording for each shortlisted Candidate, together with VSF's reasons for recommending them.

    3.1.2 VSF targets delivery of the Shortlist within 10 business days. This is an estimate only and not a guaranteed timeframe. VSF will notify You if delivery is expected to take longer.

    3.2 What VSF Does Not Do

    3.2.1 VSF is a matchmaking service only. VSF does not:

    • employ, engage or manage Your Staff Member on Your behalf;
    • take any margin on Your Staff Member's salary;
    • provide employer-of-record, HR, payroll or compliance services; or
    • provide equipment, insurance or ongoing support.

    3.2.2 Once You select and engage a Candidate, the employment or contractor relationship is directly between You and Your Staff Member. VSF has no ongoing role in that relationship unless You separately elect to take the Concierge Add-On described in clause 9.

    3.2.3 VSF does not guarantee the ongoing performance or continued availability of any Candidate or Staff Member beyond the terms of the Placement Guarantee in clause 6.

    3.3 Your Role in the Process

    3.3.1 You are responsible for:

    • providing VSF with an accurate and complete description of the Role, required skills, working hours and salary budget;
    • conducting Your own interviews with shortlisted Candidates;
    • making Your own hiring decision; and
    • managing, directing and supervising Your Staff Member once engaged.

    3.3.2 VSF will provide onboarding support and resources to assist You with integrating Your Staff Member from day one. This support is provided as a courtesy and does not create any ongoing obligation on VSF.

    4. Fees and Payment

    4.1 The Staff Finder Fee is a one-time fee payable in full at the time of ordering. The fee covers the full recruitment, screening, shortlisting and introduction process for one Role.

    4.2 All fees are in United States Dollars (USD). You are responsible for any taxes, duties or levies applicable to Your purchase in Your jurisdiction.

    4.3 Where VSF determines that a Role requires advertising spend or specialist headhunting beyond its standard recruitment process — including but not limited to senior, highly technical, or hard-to-fill positions — VSF will notify You by email before incurring any additional costs. That notification will set out the nature of the additional recruitment activity required and the estimated Additional Role Fee. VSF will not proceed with any additional spend without Your written agreement by email. The Additional Role Fee is payable upon Your written confirmation and is non-refundable once the additional recruitment activity has commenced.

    4.4 Where You do not agree to the Additional Role Fee, VSF will use reasonable endeavours to fill the Role using its standard recruitment process. If VSF is unable to source suitable Candidates without the additional activity, VSF may notify You in writing that it is unable to proceed with that Role, in which case a full refund of the Staff Finder Fee will be provided for that Role.

    4.5 The Staff Finder Fee is non-refundable except as expressly provided in the Money-Back Guarantee in clause 5 or clause 4.4 above.

    4.6 Where You require additional Roles to be filled, a separate Staff Finder Fee is payable for each Role.

    4.7 Each order has an Order Expiry Date of 6 months from the Effective Date. If a Placement has not been completed and You have not engaged a Candidate by the Order Expiry Date, the order will automatically close. VSF will send You a written reminder no less than 14 days before the Order Expiry Date.

    5. Money-Back Guarantee

    5.1 If You are not satisfied with the Candidates shortlisted by VSF and You do not proceed to engage any of them, You may request a refund of the Staff Finder Fee, less a $200 USD placement cost to cover VSF's sourcing and screening expenses already incurred.

    5.2 To be eligible for the Money-Back Guarantee:

    • (a) You must not have hired or engaged any of the shortlisted Candidates;
    • (b) You must submit Your refund request in writing to VSF within 60 days of the date of Your Order Confirmation; and
    • (c) You must provide VSF with a brief written explanation of why the Candidates did not meet Your requirements.

    5.3 VSF will process eligible refunds within 14 business days of receiving a valid refund request.

    5.4 The Money-Back Guarantee does not apply where You have engaged a Candidate but the placement subsequently does not work out. That scenario is covered by the Placement Guarantee in clause 6.

    6. Placement Guarantee

    6.1 If Your Staff Member ceases to perform their role or is no longer available within 30 days of commencing work for You, VSF will conduct a replacement search at no additional Staff Finder Fee.

    6.2 To be eligible for the Placement Guarantee:

    • (a) the Staff Member must have ceased working for You within 30 days of their commencement date;
    • (b) You must notify VSF in writing within 5 business days of the Staff Member ceasing work; and
    • (c) the cessation must not be due to any act or omission by You, including but not limited to unlawful termination, failure to pay agreed remuneration, or conduct that caused the Staff Member to resign.

    6.3 The Placement Guarantee entitles You to one replacement search for the same Role. A new Shortlist of up to 3 Candidates will be delivered on the same terms as the original search.

    6.4 The Placement Guarantee does not apply to placements made under the Concierge Add-On, which carries its own 12-month guarantee as described in the Concierge Terms of Service.

    Note: If You want greater long-term assurance beyond 30 days, consider upgrading to the Concierge Add-On — which includes a 12-month placement guarantee. See clause 9 or visit www.virtualstafffinder.com/concierge.

    7. Your Obligations

    7.1 You warrant that:

    • (a) You have the legal right and capacity to engage a remote staff member in Your jurisdiction;
    • (b) You will comply with all applicable laws in connection with Your engagement of the Staff Member, including any applicable employment, tax and privacy laws in Your jurisdiction;
    • (c) You will pay Your Staff Member directly at the salary agreed between You, with no deduction or delay; and
    • (d) the information You provide to VSF in connection with Your Role is accurate, complete and not misleading.

    7.2 You acknowledge that VSF does not provide legal, tax or employment advice. You are responsible for obtaining any advice You require in connection with engaging offshore staff.

    8. Privacy

    8.1 In providing the Staff Finder Service, VSF will collect and handle Personal Information about You and Candidates in accordance with the Privacy Act 1988 (Cth) and VSF's Privacy Policy (available at www.virtualstafffinder.com/privacy).

    8.2 By submitting an order, You consent to VSF sharing Your contact details and role requirements with suitable Candidates for the purpose of conducting the matchmaking process.

    8.3 You must handle any Personal Information about Candidates that VSF provides to You in accordance with all applicable privacy laws.

    9. Concierge Add-On — Upgrade Option

    9.1 At any time — whether at checkout or after Your Staff Member has commenced — You may request to upgrade to VSF's Concierge Add-On service, which provides full employer-of-record, HR, payroll, equipment and managed support services through WrkPod.

    9.2 To request an upgrade after Your initial order, You may:

    • (a) contact VSF by email at [email protected]; or
    • (b) complete the online upgrade form at www.virtualstafffinder.com/concierge.

    9.3 An upgrade to Concierge is not binding until VSF has confirmed the applicable fees and service details in writing and You have provided written confirmation of your agreement to proceed, either by email reply or by completing the online upgrade form.

    9.4 Once an upgrade is confirmed, the VSF Concierge Terms of Service will apply to the ongoing managed service in addition to these Staff Finder Terms. In the event of any inconsistency between the two sets of terms, the Concierge Terms of Service will prevail.

    9.5 Upgrading to Concierge replaces the 30-day Placement Guarantee in clause 6 with the 12-month placement guarantee set out in the Concierge Terms of Service, from the date the Concierge service commences.

    10. Limitation of Liability

    10.1 To the extent permitted by law, VSF's liability to You in connection with the Staff Finder Service is limited to the amount of the Staff Finder Fee paid by You.

    10.2 VSF is not liable for:

    • (a) the performance, conduct or availability of any Candidate or Staff Member after introduction;
    • (b) any loss, damage or cost arising from Your engagement or management of a Staff Member;
    • (c) any consequential, indirect or special loss including loss of profit, revenue or opportunity; or
    • (d) any delay in delivering the Shortlist beyond the estimated 10 business days.

    10.3 The Competition and Consumer Act 2010 (Cth) may imply certain guarantees that cannot be excluded. These Terms do not exclude or modify any guarantee that cannot lawfully be excluded.

    10.4 The provisions of this clause survive the termination or expiry of these Terms.

    11. General Provisions

    11.1 Governing Law. These Terms are governed by the laws of New South Wales, Australia. All parties submit to the non-exclusive jurisdiction of the Courts of New South Wales, Australia.

    11.2 Entire Agreement. These Terms, together with the Order Confirmation, constitute the entire agreement between the parties relating to the Staff Finder Service and supersede all prior communications and representations.

    11.3 Severance. If any provision is held to be illegal or unenforceable, it will be severed and the remaining provisions continue in force.

    11.4 Amendment. VSF may amend these Terms in accordance with clause 2.3. No other amendment is effective unless agreed in writing by both parties.

    11.5 No Agency. Nothing in these Terms creates a relationship of employment, agency, partnership or joint venture between VSF and You.
